Common use of Seller's Enforceability Clause in Contracts

Seller's Enforceability. All requisite corporate action to approve, execute, deliver and perform this Agreement and each other agreement and document to be delivered by any Seller in connection herewith has been taken by each Seller. This Agreement and each other agreement and document to be delivered by any Seller in connection herewith have been, or will be, duly executed and delivered by the applicable Sellers and constitute, or will constitute, the legal, valid and binding obligations of such Sellers, enforceable against such Sellers in accordance with their respective terms except to the extent that such enforcement is limited by bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium or other laws affecting the rights of creditors generally and by general equity principles.
