Common use of SELLER'S PERFORMANCE UNDER AGREEMENT Clause in Contracts

SELLER'S PERFORMANCE UNDER AGREEMENT. Seller shall have performed and complied in all material respects with each and every covenant and agreement required by this Agreement to be performed or complied with by it prior to or at the Closing other than the delivery to Buyer of the instruments conveying the Station Assets to Buyer; and

SELLER'S PERFORMANCE UNDER AGREEMENT. Seller shall have performed and complied in all material respects with each and every covenant and agreement required by this Agreement to be performed or complied with by it prior to or at the Closing other than the delivery to Buyer of the instruments conveying the Station Assets to Buyer; and

SELLER'S PERFORMANCE UNDER AGREEMENT. Seller shall have performed and complied in all material respects with each and every covenant and agreement required by this Agreement to be performed or complied with by it prior to or at the Closing other than Closing, including but not limited to entry into the delivery to Buyer WB Affiliation Agreement and the simultaneous execution of the instruments conveying the Station Assets to Buyerrelated consulting agreement with Buyer or one of its executives on or before March 16, 1998; and
