Common use of SELLER'S RESOLUTIONS Clause in Contracts

SELLER'S RESOLUTIONS. The Seller shall deliver to Buyer a certified copy of resolutions duly adopted by the Members and authorizing and approving the execution and delivery of the Transaction Documents and the consummation of the transactions contemplated therein.

SELLER'S RESOLUTIONS. The Seller shall deliver to Buyer a Purchaser certified copy copies of resolutions duly adopted by the Members and board of directors of Seller authorizing and approving the execution and delivery of the Transaction Documents Agreement, including the exhibits and schedules hereto, and the consummation of the transactions contemplated thereinherein.

The Each Seller shall deliver to Buyer a certified copy of resolutions duly adopted by the Members board of directors, managers, stockholder or member, as applicable, of such Seller and authorizing and approving the execution and delivery of the Transaction Documents and the consummation of the transactions contemplated therein.
