Common use of Selling Agent or Purchasing Agent Clause in Contracts

Selling Agent or Purchasing Agent. After receiving the Sale Information from the Selling Agent or Purchasing Agent, as the case may be, the Bank will communicate such Sale Information to the Issuing and Paying Agent by facsimile transmission or other acceptable written or electronic means. The Issuing and Paying Agent will assign a CUSIP number to the Global Note from a list of CUSIP numbers previously delivered to the Issuing and Paying Agent by the Bank representing such Book- Entry Note and then advise the Bank and the Selling Agent or Purchasing Agent, as the case may be, of such CUSIP number.

After receiving the Sale Information from the Selling Agent or Purchasing Agent, as the case may be, the Issuing Bank will communicate such Sale Information to the Issuing Fiscal and Paying Agent by facsimile transmission or other acceptable written or electronic means. The Issuing Fiscal and Paying Agent will assign a CUSIP number to the Global Note Security from a list of CUSIP numbers previously delivered to the Issuing Fiscal and Paying Agent by the Issuing Bank representing such Book- Book-Entry Note Security and then advise the Issuing Bank and the Selling Agent or Purchasing Agent, as the case may be, of such CUSIP number.

The Issuing and Paying Fiscal Agent will assign a CUSIP number to the Global Note representing such Book-Entry Note from a list of CUSIP numbers previously delivered to the Issuing and Paying Fiscal Agent by the Bank representing such Book- Entry Note or the Guarantor and then advise the Bank Bank, the Guarantor and the Selling Agent or Purchasing Agent, as the case may be, of such CUSIP number.
