Subject to Section 6, during the continuation of the offering after the Escrow Agent has performed its duties described in Section 4, but before the Offering Termination Date, any additional Subscription Proceeds may be deposited by the Dealer-Manager and the General Partner directly in a separate Partnership account which shall not be subject to the terms of this Agreement.
