Separate Returns. Except in the case of any Competent Authority Proceeding (which shall be governed by Section 9.02(c)): (i) In the case of any Tax Contest with respect to any Xxxxxxx Controls Separate Return, Xxxxxxx Controls shall have exclusive control over such Tax Contest, including exclusive authority with respect to any settlement of such Tax Contest, subject to Section 9.02(b) and Section 9.02(d). (ii) In the case of any Tax Contest with respect to any Adient Separate Return, Adient shall have exclusive control over such Tax Contest, including exclusive authority with respect to any settlement of such Tax Contest, subject to Section 9.02(b) and Sections 9.02(e) and (f).

(ii) In the case of any Tax Contest with respect to any Adient GRP&E/BCS Separate Return, Adient GRP&E/BCS SpinCo shall have exclusive control over such Tax Contest, including exclusive authority with respect to any settlement of such Tax Contest, subject to Section 9.02(b) and Sections 9.02(e10.02(e) and (f).
