SERVICE PROVIDER ACKNOWLEDGEMENTS Sample Clauses

The 'Service Provider Acknowledgements' clause requires the service provider to formally recognize and accept certain facts, obligations, or conditions set forth in the agreement. Typically, this clause may include acknowledgements regarding the scope of services, compliance with laws, or the provider’s understanding of the client’s requirements. Its core function is to ensure that the service provider is fully aware of and agrees to key terms, thereby reducing the risk of misunderstandings or disputes during the contract’s execution.
SERVICE PROVIDER ACKNOWLEDGEMENTS. The Service Provider acknowledges and agrees that: (a) the Services that it has been approved to offer and supply under this Agreement are the Services that have been designated to the Service Provider in the Supplier Portal; (b) it will provide Services to each Consumer in accordance with a Service Assignment for that Consumer as raised from time to time; (c) the Principal does not guarantee the number or regularity of Service Assignments; (d) the Principal may allocate Service Assignments to the Service Provider at its discretion and as it sees fit; and (e) the Service Provider is not, and will not be, the exclusive provider of any Services, or the exclusive supplier of any Services to any particular Consumer.

The Service Provider acknowledges that no change in the products and/or services specified in this document will be allowed without prior written approval from the district and a USAC service substitution approval with the exception of a Global Service Substitutions. b. The Service Provider acknowledges that all pricing and technology infrastructure information in its bid shall be considered as public and non-confidential pursuant to §54.504 (2)(i)(ii). c. The Service Provider acknowledges that its offer is considered to be the lowest corresponding price pursuant to § 54.511(b). Should it not be the lowest corresponding price, the service provider must disclose the conditions leading to the applicant being charged in excess of lowest corresponding price. d. This offer is in full compliance with USAC’s Free Services Advisory ▇▇▇▇://▇▇▇.▇▇▇▇.▇▇▇/sl/applicants/step02/free-services-advisory.aspx. There are no free services offered that would predicate an artificial discount and preclude the applicant from paying its proportionate non-discounted share of costs. The service provider agrees to provide substantiating documentation to support this assertion should the applicant, USAC, or the FCC request it.

To the extent that USAC finds an LCP violation and reduces the E-rate Funding, BIDDER agrees that it will not hold the DISTRICT liable for any shortfall in E-rate funding and will be responsible for any ensuing appeals, COMADS and/or RIDFS. e. The Service Provider attests that its offer does not violate the FCC’s Supply Chain certifications included in the FCC Form 473.
