Service Provider Services. During the period from and after the Service Commencement Date, the Service Provider shall provide the Services to the Company.
Service Provider Services. During the Term (as defined below), Service Provider shall provide services and/or advice to Company as set forth on Statement(s) of Work (the “Services”), including Statement of Work No. 1, attached hereto as Exhibit A. The Services shall be performed by employees under the control of the Service Provider. Service Provider Services. 4.1 The Service Provider agrees to provide, in accordance with the terms of this Agreement, the Services as detailed in Schedule A (Description of Services). 4.2 In the event the Service Provider does not meet any of the requisite service levels detailed in Schedule A (Description of Services) (“Service Levels”), the Service Provider shall: (a) at the request of the Customer, reduce the next applicable invoice to Customer by the amount of the applicable performance credits as a credit, and not as liquidated damages; and, (b) use its reasonable efforts to ensure that any unmet Service Level is subsequently met over the next applicable service period. Notwithstanding the foregoing, the Service Provider will use reasonable endeavours to minimise the impact or duration of any outage, interruption, or degradation of Service. 4.3 The Service Provider shall not subcontract for the performance of the Services, or assign or transfer any of its rights or obligations under this Agreement, without the prior written consent of the Customer and any attempt to do so shall be void and without further effect. Consent by the Customer of the subcontracting by the Service Provider of any of the Services shall not be unreasonably withheld. Such consent shall not relieve the Service Provider of any of its duties or obligations under this Agreement and the Service Provider shall indemnify the Customer in respect of any payment required to be paid to any such subcontractors and from all liability, actions, claims, omissions and defaults of any subcontractor as if such action, default or omission had been committed by the Service Provider itself.
Service Provider Services. Service Provider shall provide retail services to Subscribers using the Network. Nothing in this Agreement shall require Service Provider to use the Network exclusively.
Service Provider Services. Service Provider agrees to perform the services required for the proper conduct of the Study as described in Appendix I to this Agreement Section A (“Services”). Service Provider shall procure the performance of this Agreement and the compliance with Service Provider’s obligations by Service Provider’s employees, consultants and contractors, and all third parties otherwise involved in the provision of Services under this Agreement on the Service Provider’s behalf (collectively “Service Provider Staff”). Service Provider shall be fully responsible and liable for Service Provider Staff’s acts and omissions as if such were its own.

However, in the event of a fault you must notify us and we will notify the relevant Service Provider and monitor the progress of the Service Provider in rectifying the fault. We will ask the Service Provider to work on any fault that you report to us and that work will be subject to the repair service which the Service
Service Provider Services. Service Provider hereby agrees to provide the following services (“Service Provider Services”) to the Company and/or its direct and indirect subsidiaries: (a) Staffing (including payroll and benefits), insurance (including placement of coverage), office space (including utilities and other ancillary services), financial analysis, technical, research, administrative, legal, accounting, banking and reporting services (including tax return preparation and filings) as the Company may, from time to time, need for the operation of its business. The Company, however, will have all the rights and powers to make and implement management decisions concerning the operation of its projects. (b) Such other services as may from time to time be agreed to by the Company and the Service Provider.
