Common use of Service Providers; Reliance on Third Parties Clause in Contracts

Service Providers; Reliance on Third Parties. Customer acknowledges and agrees that from time to time, and at any time, with or without notice to Customer, Bank may make the Xxxxxx Express Service available through or using one or more unaffiliated third party service providers. Customer agrees that Bank has the right to delegate such service providers all of the rights and performance obligations that Bank has under this Agreement, and that such service providers will be third party beneficiaries of this Agreement and will be entitled to all the rights and protections that this Agreement provides to Bank. In the event any such third party service provider is unavailable or Bank determines, in its discretion, that Bank cannot continue providing the Xxxxxx Express Service through or using any such third party service provider, Bank may discontinue the Xxxxxx Express Service or may provide the Service through a different party. In such situations, Bank will have no liability for the delay or unavailability of access to the Xxxxxx Express Service.
