Service Recipients. In addition to Purchaser, all of Purchaser’s Affiliates shall be entitled to receive and use the Services under this Service Agreement. Nevertheless, Purchaser shall be Service Provider’s sole point of contact and shall be responsible for payment of the Service Charges as set forth in this Service Agreement, irrespectively of whether it is Purchaser or any of Purchaser’s Affiliates that in reality received and used the Services.
Service Recipients. The Service Recipients on the date hereof are the NEP Parties and each other Person set forth on Schedule I. The parties acknowledge that any Subsidiary of NEE Partners, NEE Operating GP or NEE Operating LP that is not a Service Recipient on the date hereof may be added as a Service Recipient under this Agreement with the Manager’s prior written consent (not to be unreasonably withheld). Within five Business Days after the NEP Parties receive such consent, they shall deliver an amended Schedule I to the Manager that adds such Subsidiary as a Service Recipient.
Service Recipients. (a) The Service Recipients on the date hereof are the YieldCo Parties and each other Person set forth on Schedule I. The Parties agree that any Person that becomes a Subsidiary of any YieldCo Party after the date hereof may be added as a Service Recipient under this Agreement with the Service Provider prior written consent (not to be unreasonably withheld, conditioned or delayed). Within five (5) Business Days after the YieldCo Parties receive such consent, they shall deliver an amended Schedule I to the Service Provider that adds such Subsidiary as a Service Recipient.
(b) The YieldCo Parties shall cause the other Service Recipients to (i) abide by the terms of this Agreement and (ii) not take any action inconsistent with the terms of this Agreement.
(c) At the request of the Service Provider, the YieldCo Parties shall cause any Service Recipient specified by the Service Provider to execute an agreement in a form mutually acceptable to the Service Provider and the YieldCo Parties pursuant to which such Service Recipient shall become a party to this Agreement and shall be jointly and severally liable to the obligations of the YieldCo Parties to the extent such obligations relate to such Service Recipient (any such agreement, a “Joinder Agreement”).
(d) At the election of the YieldCo Parties, the YieldCo Parties shall be permitted to cause any Service Recipient to execute a Joinder Agreement.
Service Recipients. The term “Service Recipients” means Residential Customers of CITY in the Service Area.
Service Recipients. 2.3.1. Supplier must provide the Services to:
2.3.1.1. Customer; and
2.3.1.2. such other entities as Customer notifies to Supplier from time to time or as set out in a Statement of Work (Service Recipient).
2.3.2. Services provided to Service Recipients are deemed to be Services provided to Customer for the purposes of this Agreement. Customer enters into this Agreement and each Statement of Work on its own behalf and as agent for each Service Recipient. Customer will act in its own right and as the agent of each Service Recipient with respect to the enforcement of any rights and remedies under this Agreement and any Statement of Work.
Service Recipients. Centene is permitted to use licenses, goods, and services for Centene’s benefit and for the benefit of (a) any Centene Affiliate, (b) any entity that is partly owned by Centene or an Affiliate and for which Centene Corporation or its wholly owned subsidiary is authorized to direct operations and bind to legal obligations, or (c) any entity that Centene or a Centene Affiliate manages pursuant to a management agreement. Centene is permitted to also direct the Company to deliver Goods and Services to any of (a) – (c) (individually and collectively, “Service Recipients”).
Service Recipients. Pregnant women will be the recipients of the Group Prenatal Care provided by the Grantee.
Service Recipients. Provider shall take such actions as are reasonably required to facilitate usage of the Services by all Recipient Parties in accordance with this Agreement. References to “Recipient” in this Agreement shall be deemed to include the Recipient Parties; provided that the Recipient shall remain wholly liable for the acts and omissions of each Recipient Party.
Service Recipients. Residents in the selected Community that identify as LGBTQ+ and are disparately affected by tobacco use and dependence and second-hand smoke exposure.
Service Recipients. Service recipients are those persons seeking services in the state of Tennessee who are infected with HIV disease.
