Common use of Servicer Compliance Statement Clause in Contracts

Servicer Compliance Statement. On or before March 1 of each calendar year, commencing in 2007, the Servicer shall deliver to the Owner and any Depositor a statement of compliance addressed to the Owner and such Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

On or before March 1 1st of each calendar year, commencing in 2007, the Servicer shall deliver to the Owner Master Servicer and any the Depositor a statement of compliance Servicing Officer’s certificate in a mutually agreed upon format, addressed to the Owner Master Servicer and such the Depositor and signed by an authorized officer of the ServicerServicing Officer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officerServicing Officer’s supervision, and (ii) to the best of such officers’ Servicing Officer’s knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

On or before March 1 of each calendar year, commencing in 2007, the Servicer Seller shall deliver to the Owner Purchaser and any Depositor a statement of compliance addressed to the Owner Purchaser and such Depositor and signed by an authorized officer of the ServicerSeller, to the effect that (i) a review of the Servicer’s Seller's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Servicer Seller has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 of each calendar year, commencing in 20072008, the Servicer shall deliver to the Owner Owner, any Master Servicer and any Depositor a statement of compliance addressed to the Owner and such Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 of each calendar year, commencing in 2007, the Servicer Company shall deliver to the Owner and any Depositor Master Servicer a statement of compliance addressed to the Owner and such Depositor Master Servicer and signed by an authorized officer of the ServicerCompany, to the effect that (i) a review of the ServicerCompany’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer Company has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 of each calendar year, commencing in 20072008, the Servicer shall deliver to the Owner and Purchaser, any Depositor Master Servicer a statement of compliance addressed to the Owner and Purchaser, such Depositor Master Servicer and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 of each calendar year, commencing in 2007, the Servicer Company shall deliver to the Owner Purchaser and any Depositor a statement of compliance addressed to the Owner Purchaser and such Depositor and signed by an authorized officer of the ServicerCompany, to the effect that (i) a review of the Servicer’s Company's activities as Servicer during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Servicer Company has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 31 of each calendar year, commencing in 2007, the Servicer shall deliver to the Owner Issuer and any Depositor the Administrator a statement of compliance addressed to the Owner and such Depositor Issuer and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s 's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ officer's knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereofthereof and shall facilitate the delivery of any required statement of compliance by each Subservicer.

Servicer Compliance Statement. On or before March 1 31 of each calendar year, commencing in 20072013, the Servicer shall deliver to the Owner and any Depositor a statement Company one or more statements of compliance addressed to the Owner and such Depositor Company and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ officer’s knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 31 of each calendar year, commencing in 20072011, the Servicer shall deliver to the Owner and any Depositor a statement one or more statements of compliance addressed to the Owner and such Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 [1] of each calendar year, commencing in 2007, the Servicer Company shall deliver to the Owner Purchaser and any Depositor a statement of compliance addressed to the Owner Purchaser and such Depositor and signed by an authorized officer of the ServicerCompany, to the effect that (i) a review of the Servicer’s Company's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Servicer Company has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March July 1 of each calendar year, commencing in 2007, the Servicer shall deliver to the Owner and any Depositor a statement of compliance addressed to the Owner and such Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 of each calendar year, commencing in 20072008, each of the Initial Servicer and the Successor Servicer shall deliver to the Owner Master Servicer and any the Depositor a statement of compliance addressed to the Owner Master Servicer and such the Depositor and signed by an authorized officer of the such Servicer, to the effect that (i) a review of the such Servicer’s 's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the such Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 15 of each calendar year, commencing in 20072008, the Servicer Company shall deliver to the Owner Purchaser and any the Depositor a statement of compliance addressed to the Owner Purchaser and such the Depositor and signed by an authorized officer of the ServicerCompany, to the effect that (i) a review of the ServicerCompany’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer Company has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 of each calendar year, commencing in 20072008, the Servicer Company shall deliver to the Owner Master Servicer and any the Depositor a statement of compliance addressed to the Owner Master Servicer and such the Depositor and signed by an authorized officer of the such Servicer, to the effect that (i) a review of the such Servicer’s 's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the such Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 of each calendar year, commencing in 2007, the Servicer shall deliver to the Owner Purchaser and any Depositor a statement of compliance addressed to the Owner Purchaser and such Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 15 of each calendar year, commencing in 2007, the Servicer shall deliver to the Owner Purchaser and any the Depositor a statement of compliance addressed to the Owner Purchaser and such the Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s servicing activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 15 of each calendar year, commencing in 2007, the Servicer Company shall deliver to the Owner Purchaser and any Depositor a statement of compliance addressed to the Owner Purchaser and such Depositor and signed by an authorized officer of the ServicerCompany, to the effect that (i) a review of the Servicer’s Company's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Servicer Company has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March October 1 of each calendar year, commencing in 2007, the Servicer shall deliver to the Owner and any Depositor a statement of compliance addressed to the Owner and such Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 20th of each calendar year, commencing in 20072011, the Servicer shall deliver to the Owner Issuer and any Depositor the Administrator a statement of compliance addressed to the Owner Issuer and such Depositor the Administrator and signed by an authorized officer Authorized Officer of the Servicer, to the effect that (i) a review of the Servicer’s 's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ officer's knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereofthereof and shall facilitate the delivery of any required statement of compliance by each Subservicer.

Servicer Compliance Statement. On or before March 1 20th of each calendar year, commencing in 20072010, the Servicer shall deliver to the Owner Issuer and any Depositor the Administrator a statement of compliance addressed to the Owner Issuer and such Depositor the Administrator and signed by an authorized officer Authorized Officer of the Servicer, to the effect that (i) a review of the Servicer’s 's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ officer's knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereofthereof and shall facilitate the delivery of any required statement of compliance by each Subservicer.

Servicer Compliance Statement. On The Servicer shall deliver on or before March 1 of each calendar year15, commencing in 2007, the Servicer shall deliver to the Owner Seller, the Trustee and any the Depositor a statement of compliance addressed to the Owner Seller and such the Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 [15] of each calendar year, commencing in 20072008, the Servicer shall deliver to the Owner Master Servicer and any the Depositor a statement of compliance addressed to the Owner Master Servicer and such the Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s 's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On The Servicer shall deliver on or before March 1 of each calendar year15, commencing in 20072008, to the Seller, the Servicer shall deliver to Trustee and the Owner and any Depositor a statement of compliance addressed to the Owner Seller and such the Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 15th of each calendar yearyear with no cure period, commencing in 20072008, the Servicer shall deliver to the Owner Master Servicer and any Depositor a statement of compliance addressed to the Owner Master Servicer and such Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 1st of each calendar year, commencing in 2007, the Servicer shall deliver to the Owner Master Servicer and any the Depositor a statement of compliance addressed to the Owner Master Servicer and such the Depositor and signed by an authorized officer of the ServicerServicing Officer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officerServicing Officer’s supervision, and (ii) to the best of such officers’ Servicing Officer’s knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 15 of each calendar year, commencing in 2007, the Servicer shall deliver to the Owner Purchaser and any Depositor a statement of compliance addressed to the Owner Purchaser and such Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s 's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 10 of each calendar year, commencing in 2007, the Servicer shall deliver to the Owner Purchaser and any Depositor a statement of compliance addressed to the Owner Purchaser and such Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s 's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 of each calendar year, commencing in 2007, the Servicer shall deliver to the Owner Securities Administrator, the Insurer and any the Depositor a statement of compliance addressed to the Owner Securities Administrator and such the Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 15th of each calendar year, commencing in 2007, the Servicer shall deliver to the Owner and any Depositor a statement of compliance addressed to the Owner and such Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

On or before March 1 of each calendar year, commencing in 20072008, the Servicer shall deliver to the Owner and any Depositor a statement of compliance addressed to the Owner and such Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 of each calendar year, commencing in 2007, the Servicer shall deliver to the Owner Master Servicer and any Depositor a statement of compliance addressed to the Owner Master Servicer and such Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.
