Common use of Servicer Compliance Statement Clause in Contracts

Servicer Compliance Statement. On or before March 1 of each calendar year, commencing in 2007, the Seller shall deliver to the Purchaser, any master servicer and any Depositor a statement of compliance addressed to the Purchaser, such master servicer and such Depositor and signed by an authorized officer of the Seller, to the effect that (i) a review of the Seller’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Seller has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 10 of each calendar year, commencing in 2007, the Seller Servicer shall deliver to the PurchaserOwner, any master servicer the Master Servicer and any Depositor a statement of compliance addressed to the PurchaserOwner, such master servicer the Master Servicer and such Depositor and signed by an authorized officer of the SellerServicer, to the effect that (i) a review of the Seller’s Servicer's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Seller Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 of each calendar year, commencing in 2007, the Seller Interim Servicer shall deliver to the Purchaser, any master servicer Purchaser and any Depositor a statement of compliance addressed to the Purchaser, such master servicer Purchaser and such Depositor and signed by an authorized officer of the SellerInterim Servicer, to the effect that (i) a review of the Seller’s Interim Servicer's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Seller Interim Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

(l) The Assignor, Assignee and Company hereby amend Section 11.25 of the Servicing Addendum to the Agreement, by deleting such section in its entirety and replacing it with the following:

On or before March 1 1st of each calendar year, commencing in 2007, the Seller Servicer shall deliver to the Purchaser, any master servicer Master Servicer and any the Depositor a statement Servicing Officer’s certificate in the form of compliance Exhibit J hereto, addressed to the Purchaser, such master servicer Master Servicer and such the Depositor and signed by an authorized officer of the SellerServicing Officer, to the effect that (i) a review of the SellerServicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officerServicing Officer’s supervision, and (ii) to the best of such officers’ Servicing Officer’s knowledge, based on such review, the Seller Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

On or before March 1 5 of each calendar year, commencing in 2007, the Seller Company shall deliver to the PurchaserOwner, any master servicer the Master Servicer and any the Depositor a statement of compliance addressed to the PurchaserOwner, such master servicer Master Servicer, and such Depositor and signed by an authorized officer of the SellerCompany, to the effect that (i) a review of the SellerCompany’s servicing activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Seller Company has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

On or before March 1 15th of each calendar year, commencing in 2007200[ ], the Seller Servicer shall deliver to the PurchaserOwner, any master servicer Master Servicer and any Depositor a statement of compliance addressed to the PurchaserOwner, such master servicer Master Servicer and such Depositor and signed by an authorized officer of the SellerServicer, to the effect that (i) a review of the SellerServicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ officer’s knowledge, based on such review, the Seller Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 of each calendar year, commencing in 2007, the Seller Servicer shall deliver to the PurchaserSeller, any master servicer the Trustee and any the Depositor a statement of compliance addressed to the Purchaser, such master servicer Seller and such the Depositor and signed by an authorized officer of the SellerServicer, to the effect that (i) a review of the Seller’s Servicer's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Mortgage Loan Purchase Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Seller Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Mortgage Loan Purchase Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 1st of each calendar year, commencing in 20072008, the Seller Servicer shall deliver to the PurchaserMaster Servicer, any master servicer the Depositor and any Depositor the Securities Administrator a statement of compliance Servicing Officer’s certificate in a mutually agreed upon format, addressed to the Purchaser, such master servicer Master Servicer and such the Depositor and signed by an authorized officer of the SellerServicing Officer, to the effect that (i) a review of the SellerServicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officerServicing Officer’s supervision, and (ii) to the best of such officers’ Servicing Officer’s knowledge, based on such review, the Seller Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

On or before March 1 1st of each calendar year, commencing in 2007, the Seller shall deliver to the Purchaser or Purchaser, any master servicer and any Depositor ’s Agent a statement of compliance addressed to the Purchaser, such master servicer any Master Servicer and such any Depositor and signed by an authorized officer of the Seller, to the effect that (i) a review of the Seller’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement related thereto during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ officer’s knowledge, based on such review, the Seller has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement related thereto in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

On or before March 1 1st of each calendar year, commencing in 20072008, the Seller Servicer shall deliver to the PurchaserMaster Servicer, any master servicer the Depositor and any Depositor the Trustee a statement of compliance Servicing Officer’s certificate in a mutually agreed upon format, addressed to the Purchaser, such master servicer Master Servicer and such the Depositor and signed by an authorized officer of the SellerServicing Officer, to the effect that (i) a review of the SellerServicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officerServicing Officer’s supervision, and (ii) to the best of such officers’ Servicing Officer’s knowledge, based on such review, the Seller Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 15 of each calendar year, commencing in 200720__, the Seller Servicer shall deliver to the PurchaserOwner, any master servicer Depositor and any Depositor Master Servicer a statement of compliance addressed to the Purchaser, Owner ,such master servicer Depositor and such Depositor Master Servicer and signed by an authorized officer of the SellerServicer, to the effect that (i) a review of the SellerServicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this the Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Seller Servicer has fulfilled all of its obligations under this the Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 10 of each calendar year, commencing in 2007, the Seller Servicer shall deliver to the PurchaserOwner, any master servicer the Master Servicer and any Depositor a statement of compliance addressed to the PurchaserOwner, such master servicer the Master Servicer and such Depositor and signed by an authorized officer of the SellerServicer, to the effect that (i) a review of the Seller’s Servicer's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ officer's knowledge, based on such review, the Seller Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 5 of each calendar year, commencing in 2007, the Seller Company shall deliver to the Purchaser, any master servicer the Master Servicer and any the Depositor a statement of compliance addressed to the Purchaser, such master servicer Purchaser and such Depositor and signed by an authorized officer of the SellerCompany, to the effect that (i) a review of the Seller’s Company's servicing activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Seller Company has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 of each calendar year, commencing in 20072008, the Seller shall deliver to the Purchaser, any master servicer Master Servicer and any Depositor a statement of compliance addressed to the Purchaser, such master servicer Master Servicer and such Depositor and signed by an authorized officer of the Seller, to the effect that (i) a review of the Seller’s 's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Seller has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof. (m) The Assignor, Assignee and Company hereby amend Section 11.25 of the Servicing Addendum to the Agreement, by deleting such section in its entirety and replacing it with the following:

On or before March 1 1st of each calendar year, commencing in 20072008, the Seller Servicer shall deliver to the Purchaser, any master servicer Master Servicer and any the Depositor a statement Servicing Officer’s certificate in the form of compliance Exhibit J hereto, addressed to the Purchaser, such master servicer Master Servicer and such the Depositor and signed by an authorized officer of the SellerServicing Officer, to the effect that (i) a review of the SellerServicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officerServicing Officer’s supervision, and (ii) to the best of such officers’ Servicing Officer’s knowledge, based on such review, the Seller Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 15 of each calendar year, commencing in 2007, the Seller Servicer shall deliver to the Purchaser, any master servicer Master Servicer and any Depositor a statement of compliance addressed to the Purchaser, such master servicer Master Servicer and such Depositor and signed by an authorized officer of the SellerServicer, to the effect that (i) a review of the Seller’s Servicer's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this the Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Seller Servicer has fulfilled all of its obligations under this the Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof. The statement of compliance required under this Section 9.04 shall be provided by the Servicer in respect of its servicing of the Mortgage Loans during calendar year 2006 notwithstanding the servicing transfer on the Transfer Date.

Servicer Compliance Statement. On or before March 1 15 of each calendar year, commencing in 20072008, the Seller Servicer shall deliver to the PurchaserOwner, any master servicer the Certificate Insurer and any the Depositor a statement of compliance addressed to the PurchaserOwner, such master servicer the Certificate Insurer and such the Depositor and signed by an authorized officer of the SellerServicer, to the effect that (i) a review of the SellerServicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Seller Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

On or before The Company shall make reasonable best efforts by March 1 1, but in no event later than March 15, of each calendar year, commencing in 2007, the Seller shall to deliver to the PurchaserOwner, any master servicer Master Servicer and any Depositor a statement of compliance addressed to the Purchaser, such master servicer Owner and such Depositor and signed by an authorized officer of the SellerCompany, to the effect that (i) a review of the SellerCompany’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Seller Company has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

On or before March 1 of each calendar year, commencing in 20072013, the Seller Servicer shall deliver to the PurchaserMaster Servicer, any master servicer and or any Depositor if a Master Servicer has not been identified for the related Securitization Transaction, a statement of compliance addressed to the Purchaser, such master servicer and such Depositor and signed by an authorized officer of the SellerServicer, to the effect that (i) a review of the SellerServicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Seller Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On The Company shall deliver using best reasonable efforts on or before March 1 1, but in no event later than March 15, of each calendar year, commencing in 2007, the Seller shall deliver to the Purchaser, any master servicer Purchaser and any Depositor a statement of compliance addressed to the Purchaser, such master servicer Purchaser and such Depositor and signed by an authorized officer of the SellerCompany, to the effect that (i) a review of the SellerCompany’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this the Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Seller Company has fulfilled all of its obligations under this the Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 1 of each calendar year, commencing in 20072010, the Seller Servicer shall deliver to the PurchaserMaster Servicer, any master servicer and or any Depositor if a Master Servicer has not been identified for the related Securitization Transaction, a statement of compliance addressed to the Purchaser, such master servicer and such Depositor and signed by an authorized officer of the SellerServicer, to the effect that (i) a review of the SellerServicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Seller Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement.
