Common use of Servicer to send notice Clause in Contracts

Servicer to send notice. of legal proceedings (a) send to the Issuer and the Security Trustee as soon as reasonably practical, all notices, claims, summons, writs, or documents which it receives from third parties; (b) provide to the Issuer and/or the Security Trustee whatever information and assistance the Issuer and/or the Security Trustee require in relation to such proceedings; and (c) incur no liability of any sort and no undertaking shall be given nor shall any offer, promise or payment be made or legal expenses incurred by the Servicer in relation to any such claim, summons or writ without the prior written consent of the Issuer and/or the Security Trustee who shall be entitled, if they so desire, to take over and conduct the defence to any action or to prosecute any claim for indemnity or damages or otherwise against any third party.
