Common use of Servicer's Fee Clause in Contracts

Servicer's Fee. The Servicer will be entitled to receive in respect of each monthly Accrual Period on the following Monthly Distribution Date in accordance with the terms of this Deed the fee agreed by the Trustee and the Servicer prior to the date of this Deed or as may otherwise be agreed by the Trustee, the Manager and the Servicer provided that each Rating Agency will be given 3 Business Days' prior notice by the Manager of any variation of the Servicer's Fee and the Servicer's Fee will not be varied if such variation would result in a reduction, qualification or withdrawal of any then current credit rating of any Security.
