Services Agreement and Post-Closing Agreement. On the Closing Date, substantially contemporaneously with the occurrence of the Effective Time, the Surviving Corporation, NetRatings and ACN shall enter into a Services Agreement (the "Services Agreement"), and the Surviving Corporation and ACN shall enter into a Post-Closing Agreement (the "Post-Closing Agreement"), in substantially the forms attached to this Agreement as Annex B-1 and Annex B-2, respectively.
