Services and Software. 2.1 Implementation FRAMA and LICENSER grants Customer a limited license to use the SERVICES, enabling Customer and/or End-Users the use of SERVICES by routing their outbound email tagged for registration through the FRAMA’S or LICENSER’S servers. The Software and the SERVICES are protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold. This XXXX grants you the following rights:
Services and Software. 3.1 We will supply the Services and Software to you in accordance with these Terms and the relevant Schedule.
Services and Software. PoliteMail, its licensors, and its service providers own all right, title, and interest in and to the Services and Software, including all related intellectual property rights. PoliteMail reserves all rights not expressly granted to Customer under this Agreement. This Agreement and the Order(s) create no implied rights. Customer and Users shall not delete or in any manner alter the copyright, trademark, and other proprietary notices of PoliteMail appearing on the Services, Software or any portion thereof.
Services and Software. The right to access the Services and the license to the Software will automatically terminate upon termination of this Agreement or the applicable Order for any reason. Upon such termination, Customer must at A10 Networks’ option, either promptly destroy or return to A10 Networks all copies of the Software in Customer’s possession or control.

Services and Software. 2.1. We will provide the Services to You in accordance with the applicable Order and these Terms. As of the Services Start Date You will receive access to an Hub Services account (“Your Account”). To use the Services You must link at least one third party email account to Your Account, but may link no more email accounts than the total number of Your Authorized Users. You will keep all information related to Your Account current and promptly notify us of any changes by sending an e-mail to xxxxxxx@xxx.xxx.
2.2. Some features and functionalities of our Hub Services may require Your Authorized Users to download and use our Software. During the Term, and subject to Your payment of all applicable Service Fees, Hub hereby grants You a limited, nonexclusive, non transferable, non sublicensable, revocable right and license to (i) access and use the Hub Services via a web browser or web-enabled device and (ii) use the Software solely for the purposes of accessing and using the Services. If we provide You with any downloadable Software under an open source license, we will only provide such Software that is governed by permissive open source license(s), as currently listed at xxxx://xxx.Xxx.xx/open-source-software-disclosure/.
2.3. We may modify the Services or update the Software from time to time without notice to You. We will use commercially reasonable efforts to notify You in advance if a change is material, other than those changes which enhance or extend any features or functionality of the Services or Software.
2.4. You are solely responsible for the acts and omissions of Your Authorized Users, including their use of the Services, Software, and Your Data. You agree that You will only permit Authorized Users to access the Hub Services and that You and Your Authorized Users will maintain the security of their usernames and passwords. You will notify Hub immediately if You suspect or become aware of any unauthorized use of the Services or if an Authorized User’s username or password is lost or stolen.
2.5. You and Your Authorized Users must not: (a) use the Hub Services to provide services to third parties or otherwise reproduce, license, sell, rent, lease, outsource, act as service bureau, or sublicense the Hub Services or Software; (b) use the Hub Services or Software (including by uploading Your Data, downloading or sharing other content or information, or emailing or communicating with others through the Hub Services) in any manner that is harmful, infring...
Services and Software. 8.1 The Supplier shall supply the Services and Software during the Contract Period in accordance with the Customer's requirements as set out in the Contract in consideration for the payment of the Contract Price. The Supplier acknowledges that it has made its own enquiries to satisfy itself as to the accuracy and adequacy of any information supplied to it by or on behalf of the Customer so as to be satisfied in relation to all matters connected with the performance of its obligations under the Contract.
8.2 The Supplier shall:
(a) at all times comply with the Quality Standards, and, where applicable, shall maintain accreditation with the relevant Quality Standards authorisation body;
(b) to the extent that the standard of Services or Software has not been specified in the Contract, agree the relevant standard of the Services and Software with the Customer before the supply of the Services and Software;
(c) at all times perform its obligations under the Contract in accordance with the Law and Good Industry Practice; and
(d) ensure that all Staff supplying the Services shall do so with all due skill, care and diligence and shall possess such qualifications, skills and experience as are necessary for the proper supply of the Services and Software. together the “Contract Standard”.
8.3 The Supplier shall prepare a project plan for the implementation process which will set out expected timescales for completion of each element of the process in accordance with the Customer’s requirements as set out in the Order Form.
8.4 Subject to the Customer providing Approval in accordance with clause 9, timely supply of the Services and Software shall be of the essence of the Contract, including in relation to commencing the supply of the Services within the time agreed or on a specified date.
8.5 In the absence of any agreement to the contrary or instructions within the Order Form in accordance with clause 8.4, and unless the Supplier is prevented from doing so by the Customer, the Parties agree that:
(a) the Supplier shall begin to implement the Services and/or Software within 6 weeks of the Service Commencement Date; and
(b) the Software shall be fully functional within 12 weeks of the Service Commencement Date.
8.6 The Supplier warrants to the Customer that:
(a) Throughout the term, it is accredited to ISO 27001 as updated from time to time;
(b) the Services and Software will conform with all descriptions and specifications provided to the Customer by the Supplier;

Upon Customer’s prompt notification to Seller of any failure of the Services performed or Software provided by Seller to conform to these warranties during the applicable warranty period and to the extent of a breach of the applicable warranty, Seller’s sole obligation shall be limited to: (i) in the case of Services, re-performance of the non-compliant Service using commercially reasonable efforts; and (ii) in the case of Software, use reasonable commercial efforts to correct any substantial reproducible errors in the Software so that the Software materially conforms to the Specifications.
