Services Provided by Company. Company agrees to make its employees and facilities available to the Service Provider, upon request of the Service Provider, to perform services as may be mutually agreed upon by the parties from time to time. The cost of such services shall be allocated to the Service Provider in the same manner costs are allocated to the Company pursuant to Section 3 herein. With respect to such services, all terms and conditions of this Agreement shall be applicable as though fully stated herein, except the Company shall be deemed the "Service Provider" and the Service Provider shall be deemed the '"Company” for purposes of determining rights and obligations of the parties under this Agreement.
Services Provided by Company. Company will perform the services in connection with the Program as set forth on Exhibit A, attached hereto and made a part hereof.
Services Provided by Company a. The Company shall provide the services and information to SEI as specified in the attached Exhibit B.
Services Provided by Company. Company shall provide to Counterparty the benefits (the “Services”) described on Schedule 1 attached hereto and signed by the parties (the “Profile Schedule”). The Company reserved the right to modify the Platform at any time.
Services Provided by Company. 3 .1 Purchasing of medications, vials, labels and other items for Customers in the Territory needed to supply prescription and over the counter (OTC) medications to be dispensed via the Smart Phann Assist Kiosk™.
Services Provided by Company. 2.1 Upon receiving payment of the Initial Consult Fee , Company will provide Taxpayer with the following services: 2.1.1 Evaluation of Taxing Authority correspondence related to the Case 2.1.2 Determination if the Case is a Qualified Case 2.1.3 Notification to the Taxpayer if their case is a Qualified Case 2.2 Upon Company deeming the Case a Qualified Case and receiving payment of the Minimum Initial Program Fee , Company will provide the Taxpayer with the following services (collectively, the Services ). Services shall be provided only for Qualified Cases. 2.2.1 Evaluation of all related Taxing Authority correspondence 2.2.2 Explanation of Case requirements and the available options to Taxpayer 2.2.3 Taxing Authority document review, consultation and organization 2.2.4 Drafting of letters and other necessary correspondence with the Taxing Authority as needed 2.2.5 Assistance with telephone communication with the Taxing Authority agent for explanations and discussions during the audit process 2.2.6 Assistance with all Taxing Authority forms including IRS 1040 and schedules A, C, and E unless excluded below in section 3. 2.2.7 Assistance with denied credits when the Return is unfunded, including: Earned Income Credit, Child and Dependent Care Credit (form 2441), Education Credits, Child Tax Credit, Additional Child Tax Credit, Adoption Credit, Credit for the Elderly or Disabled, Savers Credit. 2.2.8 Assistance with rejected W-7 applications. 2.2.9 Assistance with IRS Identity Theft 2.2.10 Tax debt relief including but not limited to Installment Agreements, Offer in Compromise, Tax Penalty Abatement, Streamline Installment Agreements, Tax Liens, Wage Garnishment Relief, Innocent Spouse Relief provided that Taxpayer meets all Taxing Authority guidelines for approval of the applicable debt relief and pays all associated governmental fees. 2.2.11 The Services are subject to change, modification, or substitution at any time without notice to the Taxpayer . In order to receive Services, a Taxpayer must access the Services as instructed by Company representatives. Company reserves the right to deny Services to any Taxpayer for any reason at any time at Company’s sole discretion.
Services Provided by Company. All insurance or other products or services provided or arranged by Company comply with all applicable Laws, all disclosures required by applicable Law to be made concerning insurance and such other products or services were complete and accurate and properly made, and all documents required to be delivered at the time of signing the Loan have been delivered. Privacy. Company shall not make any unauthorized disclosure of or use any personal information of individual consumers which it receives from Household or on Household's behalf other than to carry out the purposes for which such, information is received and Company shall comply in all respects with all applicable requirements of Title V of the ▇▇▇▇▇-▇▇▇▇▇-▇▇▇▇▇▇ Act of 1999 and its implementing regulations. Company shall adopt and maintain a comprehensive privacy policy with respect to its handling of the personal information of individual consumers submitted by such consumers to Company via the Internet. Company's privacy policy shall be available on its Internet websites no later than July 1, 2001. Company shall comply in all respects with the provisions of such privacy policy.
Services Provided by Company. Company will provide the following services to support Agent: a. Access to supplier commission databases; b. Access to online booking engines and vendor related password protected booking engines; c. Access to airline, cruise, hotel, tour and car programs; d. Access to training programs with selected vendors (training may involve additional cost to Agent).
Services Provided by Company. The Company shall, in accordance with the terms of this Agreement, Applicable Law and best industry practices, provide all labor, materials, facilities, services and equipment necessary to Collect, Process, Recycle or Dispose of (as appropriate), market and transport all set out Franchise Materials. Services not within the scope of this Agreement will be provided upon terms and pricing determined by Company.
Services Provided by Company. 3.1 Purchasing of medications, vials, labels and other items for Customers in the Territory needed to supply prescription and over the counter (OTC) medications to be dispensed via the Smart Pharm Assist Kiosk™. 3.2 Management and training services to be rendered to all employees of the Pharmacy. 3.3 Coordinate installation, training, support, and maintenance of the Smart Pharm Assist Kiosk™. 3.4 Locating and hiring services of one or more pharmacists to support medication dispensing via the Smart Pharm Assist Kiosk™ at locations of the Customers in the Territory who contract with Smart RX Systems, Inc. 3.5 All related operating support. 3.6 All inventory and purchasing management, and all accounting and financial activities including the preparation of Profit & Loss Statements for each Kiosk Location on a monthly basis. 3.7 Profits from the operation of the Business shall be calculated according to the methodology set forth in Section 4.1 or as otherwise mutually agreed upon in writing by the parties.
