Services to be Rendered by Advisor to the Fund. The Advisor shall: furnish advice to the Fund regarding whether to form an investment vehicle, whether the Fund should make an investment in a particular Portfolio Company, when and on what terms to dispose of the Fund's investment in a Portfolio Company, and how to exercise the Fund's voting rights with respect to a Portfolio Company; negotiate and structure investments on behalf of the Fund, review and assist in the preparation of all Fund documentation and attempt to consummate investments that the Advisor recommends the Fund pursue.
