As investment adviser to the Portfolio, the Adviser, together with Xxxxxxx, will coordinate the investment and reinvestment of the assets of the Portfolio and determine the composition of the assets of the Portfolio, subject always to the supervision and control of the Manager and the Trustees of the Trust. Without limiting the generality of the foregoing, Xxxxxxx shall allocate responsibilities for specific tasks relating to the Portfolio between Xxxxxxx and the Adviser. Xxxxxxx will provide the social screening services used in selecting each investment for the Portfolio and has the authority to deny the purchase by the Portfolio or cause divestiture of any investments of the Portfolio if such investment, in the sole opinion of Xxxxxxx, fails to pass the social screens established for the Portfolio.
