SERVICES TO THE COMPANY. Indemnitee will serve or continue to serve as an officer, director, advisor, key employee or in any other capacity of the Company, as applicable, for so long as Indemnitee is duly elected, appointed or retained or until Indemnitee tenders his resignation.

Indemnitee will serve or continue to serve as an officer, director, advisor, manager or key employee or in any other capacity of the Company, as applicable, Company or an Enterprise for so long as Indemnitee is duly elected, elected or appointed or retained or until Indemnitee tenders his or her resignation, subject to the terms of any employment agreement between Indemnitee and the Company.

Indemnitee will serve or and/or continue to serve as an a director and/or officer of the Company and/or as a director, officer, directoremployee, advisorpartner, key employee trustee, agent or fiduciary of a Company Affiliate in any other capacity good faith so long as he is duly elected and qualified in accordance with the provisions of the Company, as applicable, ’s By-Laws or other applicable constitutive documents thereof; provided that Indemnitee may at any time and for so long as Indemnitee is duly elected, appointed or retained or until Indemnitee tenders his resignationany reason resign from such position.

Indemnitee will serve or continue to serve as an officer, director, advisor, or director or key employee or in any other capacity of the Company, as applicable, Company for so long as Indemnitee is duly elected, elected or appointed or retained or until Indemnitee tenders his resignationor her resignation or is terminated by the Company or becomes incapacitated.
