Servicing After Transfer Date. (a) The Assets shall be sold and conveyed to Buyer on a servicing-released basis, other than as described in Section 8.13. As of the Transfer Date, all rights, obligations, liabilities and responsibilities with respect to the servicing of the Assets shall pass to Buyer, and Seller and/or its servicing agent shall be discharged from all liability therefore, to the full extent allowed for in any agreement between the Seller and its Servicing Agents. (b) Notwithstanding the forgoing, the Resurgent Capital Services L.P., as servicer for Buyer and Seller intend to contemporaneously execute a Servicing Agreement substantially in the form of Exhibit X hereto.
