Servicing and Management Clause Samples

Servicing and Management. Seller has adequate financial standing and, through each Servicing Agreement with a Servicer and the REO Asset Management Agreement with the Property Manager, access to servicing facilities, procedures and experienced personnel necessary for the sound servicing of mortgage loans and management of REO properties of the same types as may from time to time constitute Trust Mortgage Loans and REO Properties and in accordance with Accepted Servicing Practices.
Servicing and Management. Sellers shall not cause the Purchased Assets to be serviced by any Subservicer other than a Subservicer expressly approved in writing by Buyer, which approval shall not be unreasonably withheld or delayed and is hereby deemed granted by Buyer with respect to SPS and F▇▇ with the execution of this Agreement.
Servicing and Management. Seller shall not cause the Purchased Assets, Trust Mortgage Loans and REO Properties to be serviced by any Servicer or managed by another property manager other than a Servicer or property manager, as applicable, expressly approved in writing by Buyer, which approval shall be deemed granted by Buyer with respect to Seller, Ocwen and the Property Manager with the execution of this Agreement. Seller represents, warrants and covenants that it will use commercially reasonable efforts to seek to modify Trust Mortgage Loans for, or offer modifications of Trust Mortgage Loans to, qualified and willing borrowers.
Servicing and Management. No Seller Party shall cause the Underlying Mortgage Loans to be serviced by any servicer other than a Servicer expressly approved in writing by Buyer, which approval shall not be unreasonably withheld or delayed and is hereby deemed granted by Buyer with respect to SPS effective as of the Effective Date.
