Common use of Servicing Fee Clause in Contracts

Servicing Fee. (a) Subject to clause (b), the Servicer shall be paid a fee equal to 0.50% per annum (the “Servicing Fee Rate”) of the daily average aggregate Outstanding Balance of the Pool Receivables. The Issuer’s Share of such fee shall be paid through the distributions contemplated by Section 1.4(d), and the Seller’s Share of such fee shall be paid by the Seller on each Settlement Date. (b) If the Servicer ceases to be UGI or an Affiliate thereof, the servicing fee shall be the greater of: (i) the amount calculated pursuant to clause (a), and (ii) an alternative amount specified by the successor Servicer not to exceed 110% of the aggregate reasonable costs and expenses incurred by such successor Servicer in connection with the performance of its obligations as Servicer.

Servicing Fee. Servicing Fee. Servicing Fee. (b) If the Servicer ceases to be UGI Weirton or an Affiliate thereof, the servicing fee shall be the greater of: : (i) the amount calculated pursuant to clause (a), ) and (ii) an alternative amount specified by the successor Servicer not to exceed 110% of the aggregate reasonable costs and expenses incurred by such successor Servicer in connection with the performance of its obligations as Servicer.

If the Servicer ceases to be UGI Xxxxxxx or an Affiliate thereof, of Group the servicing fee shall be the greater of: (i) the amount calculated pursuant to clause (a), and (ii) an alternative amount reasonably specified by the successor Servicer not to exceed 110% of the aggregate reasonable costs and expenses incurred by such successor Servicer in connection with the performance of its obligations as Servicer.

(b) If the Servicer ceases to be UGI Amphenol Corporation or an Affiliate thereof, the servicing fee shall be the greater of: (i) the amount calculated pursuant to clause paragraph (a), and (ii) an alternative amount specified by the successor Servicer not to exceed 110% of the aggregate reasonable costs and expenses incurred by such successor Servicer in connection with the performance of its obligations as Servicer.

(a) Subject to clause (b), the Servicer shall be paid a fee equal to 0.50% per annum (the “Servicing Fee RateFee”) of equal to the Servicing Fee Rate multiplied by the daily average aggregate Outstanding Balance of the Pool ReceivablesReceivables during the applicable month to which such Servicing Fee relates, which shall be payable monthly in arrears. The Issuer’s Share of such fee Servicing Fee shall be paid through the distributions contemplated by Section 1.4(d), and the Seller’s Share of such fee shall be paid by the Seller on each Settlement Date. (b) If the Servicer ceases to be UGI Axxxxxxxx or an Affiliate thereof, the servicing fee shall be the greater of: of (i) the amount calculated pursuant to clause (a), and (ii) an alternative amount specified by the successor Servicer not to exceed 110% of the aggregate reasonable costs and expenses incurred by such successor Servicer in connection with the performance of its obligations as Servicer.

Servicing Fee. (b) If the Servicer ceases to be UGI Moog or an Affiliate thereof, the servicing fee shall be the greater of: (i) the amount calculated pursuant to clause (a), and (ii) an alternative amount specified by the successor Servicer not to exceed 110% of the aggregate reasonable costs and expenses incurred by such successor Servicer in connection with the performance of its obligations as Servicer.

Servicing Fee. (a) Subject to clause (b), the Servicer shall be paid a fee (the “Servicing Fee”) equal to 0.501.00% per annum (the “Servicing Fee Rate”) of the daily average aggregate Outstanding Balance of the Pool Receivables. The Issuer’s Purchasers’ Share of such fee shall be paid through the distributions contemplated by Section 1.4(d), and the Seller’s Share of such fee shall be paid directly by the Seller on each Settlement DateSeller. (b) If the Servicer ceases to be UGI Presidio or an Affiliate thereof, the servicing fee shall be the greater of: (i) the amount calculated pursuant to clause (a), and (ii) an alternative amount specified by the successor Servicer not to exceed 110% of the aggregate reasonable costs and expenses incurred by such successor Servicer in connection with the performance of its obligations as Servicer.

Servicing Fee. (a) Subject to clause (b), the Servicer shall be paid a fee equal to 0.50.50% per annum (the “"Servicing Fee Rate”") of the daily average aggregate Outstanding Balance of the Pool Receivables. The Issuer’s 's Share of such fee shall be paid through the distributions contemplated by Section 1.4(d), and the Seller’s 's Share of such fee shall be paid by the Seller on each Settlement Date. (b) If the Servicer ceases to be UGI Royal or an Affiliate thereof, the servicing fee shall be the greater of: : (i) the amount calculated pursuant to clause (a), and (ii) an alternative amount specified by the successor Servicer not to exceed 110% of the aggregate reasonable costs and expenses incurred by such successor Servicer in connection with the performance of its obligations as Servicer.

Servicing Fee. (a) Subject to clause (bSection 4.6(b), the Servicer shall be paid a fee equal to 0.50.75% per annum (the “"Servicing Fee Rate”") of the daily average aggregate Outstanding Balance of the Pool Receivables. The Issuer’s Each Investor's Share of such fee shall be paid through solely from the distributions contemplated by Section 1.4(d), and the Seller’s 's Share of such fee shall be paid by the Seller on each Settlement DateSeller. (b) If the Servicer ceases to be UGI Xxxxxxx or an Affiliate thereofof Warnaco, the servicing fee shall be the greater of: : (i) the amount calculated pursuant to clause (a), and (ii) an alternative amount reasonably specified by the successor Servicer not to exceed 110100% of the aggregate reasonable costs and expenses incurred by such successor Servicer in connection with the performance of its obligations as Servicer.

The Issuer’s Share of such fee Accrued Servicing Fees shall be paid through payable from Collections to the distributions contemplated by extent of available funds in accordance with Section 1.4(d), and the Seller’s Share of such fee shall be paid by the Seller on each Settlement Date4.01. (b) If the Servicer ceases to be UGI Xxxxxx or an Affiliate thereof, the servicing fee Servicing Fee shall be the greater of: (i) the amount calculated pursuant to clause (a), ) above and (ii) an alternative amount specified by the successor Servicer not to exceed 110% of the aggregate reasonable costs and expenses incurred by such successor Servicer in connection with the performance of its obligations as ServicerServicer hereunder.

(b) If the Servicer ceases to be UGI Werner or an Affiliate affiliate thereof, the servicing fee shall be the greater xxx xxeater of: : (i) the amount calculated pursuant to clause (a), and (ii) an alternative amount specified by the successor Servicer not to exceed 110100% of the aggregate reasonable costs and expenses incurred by such successor Servicer in connection with the performance of its obligations as Servicer.
