Servicing to be Sold. Subject to the terms and conditions of this Agreement, and in reliance upon the representations, warranties, covenants and agreements hereinafter set forth, the Selling PFI shall sell, assign, and transfer to Colonial and Colonial shall purchase from the Selling PFI the Servicing Rights in accordance with this Agreement and the Servicing Sale Manual.
