Common use of SET OFF OR COUNTERCLAIM Clause in Contracts

SET OFF OR COUNTERCLAIM. Except with respect to any claim against or debt or other obligation of the Employee properly recorded on the books and records of the Company prior to the Triggering Date, there shall be no right of set off or counterclaim against, or delay in, any payment by the Company to the Employee or his beneficiaries provided for in this Agreement in respect of any claim against or debt or other obligation of the Employee, whether arising hereunder or otherwise.

Except with respect to any claim against or debt or other obligation of the Employee Executive properly recorded on the books and records of the Company prior to the Triggering Date, there shall be no right of set off or counterclaim against, or delay in, any payment by the Company to the Employee Executive or his his/her beneficiaries provided for in this Agreement in respect of any claim against or debt or other obligation of the EmployeeExecutive, whether arising hereunder or otherwise.
