SETOFF.CURRENCY. 10.1 If under this Agreement or any document delivered pursuant hereto, the Vendor becomes obligated to pay any sum of money to the Purchaser, then such sum may at the election of the purchaser, and without limiting or waiving any right or remedy for the purchaser under this Agreement, be set-off against and/or will be applied to any sum of money or security owed by the Purchaser to the Vendor until such amount has been completely set-off. Unless otherwise set out to the contrary herein, all references to currency will be in Canadian dollars.

If for any reason the amount in the Contractual Currency so received exceeds the amount in the Contractual Currency payable in respect of this Agreement, the party receiving the payment will refund promptly the amount of such excess.
