Common use of Settlement and Possession Clause in Contracts

Settlement and Possession. Except as otherwise provided herein, Settlement will be made at the office of the Settlement Agent (as hereinafter defined), and will take place within Forty Five ( 45 ) days after the date of this Agreement, with the actual date of Settlement being referred to as the “Settlement Date”. Buyer will notify Seller of the actual Settlement Date not less than five (5) business days in advance. Possession will be given at Settlement, unless otherwise Seller and Xxxxx agree otherwise in writing.
