Severability; Conflict Sample Clauses

The Severability; Conflict clause ensures that if any part of the contract is found to be invalid or unenforceable, the remaining provisions will still remain in effect. In practice, this means that if a court strikes down a specific term, the rest of the agreement continues to operate as intended, and the parties are not released from their other obligations. Additionally, this clause often addresses what happens if there is a conflict between different terms, typically specifying which provision will take precedence. Its core function is to preserve the integrity and enforceability of the contract, even if certain parts are legally problematic or contradictory.
Severability; Conflict. In the event any provision of this Agreement or in the Notes shall be invalid, illegal or unenforceable, then (to the extent permitted by law) the validity, legality or enforceability of the remaining provisions shall not in any way be affected or impaired. Notwithstanding anything to the contrary in any Agreement Document, in the event of any conflict between any provision set forth in any Agreement Document, on one hand, and this Agreement, on the other hand, that may affect any rights, privileges, protections and indemnities in favor of any Holder, such provision set forth in this Agreement shall prevail.
Severability; Conflict. Any provision hereof found to be invalid by any court having jurisdiction will be invalid only with respect to such provision (and then only to the extent necessary to avoid such invalidity). The offending provision will be modified to the maximum extent possible to confer upon the Secured Party the benefits intended thereby. Such provision as modified and the remaining provisions hereof will be construed and enforced to the same effect as if such offending provision (or portion thereof) had not been contained herein, to the maximum extent possible. Furthermore, in lieu of such illegal, invalid, or unenforceable provision there will be added automatically as a part of this Agreement a provision as similar in terms to such illegal, invalid, or unenforceable provision as may be possible and be legal, valid and enforceable.
Severability; Conflict. In the event that any portion of this Agreement is held to be unenforceable, (i) the unenforceable portion shall be construed as nearly as possible to reflect the original intent of the Parties; (ii) the remainder of this Agreement shall remain in full force and effect; and (iii) the unenforceable portion shall remain enforceable in all other contexts and jurisdictions.
Severability; Conflict. If any provision of this First Amendment shall be held by any court of competent jurisdiction to be illegal, invalid or unenforceable, such provision (to the extent possible) shall be construed and enforced as if it had been more narrowly drawn so as not to be illegal, invalid or unenforceable, and such illegality, invalidity or unenforceability shall have no effect upon and shall not impair the enforceability of any other provision of this First Amendment.
Severability; Conflict. If any provision of this Agreement is found to be invalid or limited in its force, it will be enforced to the maximum extent of the law and the remainder of the Agreement will continue in force.
Severability; Conflict. In the event any provision of this Indenture or in the Notes shall be invalid, illegal or unenforceable, then (to the extent permitted by law) the validity, legality or enforceability of the remaining provisions shall not in any way be affected or impaired. Notwithstanding anything to the contrary any Indenture Document, in the event of any conflict between any provision set forth in any Indenture Document, on one hand, and this Indenture, on the other hand, that may affect any rights, privileges, protections and indemnities in favor of any Holder, such provision set forth in this Indenture shall prevail.
Severability; Conflict. In the event any provision of this Indenture or in the Notes shall be invalid, illegal or unenforceable, then (to the extent permitted by law) the validity, legality or enforceability of the remaining provisions shall not in any way be affected or impaired. Notwithstanding anything to the contrary in the Company LLC Agreement or any Indenture Document, in the event of any conflict between any provision set forth in the Company LLC Agreement or any Note, on one hand, and this Indenture, on the other hand, that may affect any rights, privileges, protections and indemnities in favor of any Holder, such provision set forth in this Indenture shall prevail.
