Common use of Severability Provisions Clause in Contracts

Severability Provisions. A. In the event there is a conflict between a provision of this Agreement with the federal or state law, or valid rule or regulation adopted by a federal or state agency as determined by a court of competent jurisdiction, the federal or state law or valid rule or regulation adopted by a federal or state agency shall prevail as to that provision. All other provisions of this Agreement which are not in conflict with a federal or state law or valid rule or regulation adopted by a federal or state agency, thereto, shall continue in full force and effect in accordance with their terms. The parties will meet to negotiate any necessary change in the Agreement relative to the affected provision within sixty (60) days by demand of either party.
