Common use of Severability; Survival Clause in Contracts

Severability; Survival. In the event any provision or portion of this Agreement is determined to be invalid or unenforceable for any reason, in whole or in part, the remaining provisions of this Agreement shall nevertheless be binding upon the parties with the same effect as though the invalid or unenforceable part had been severed and deleted. The respective rights and obligations of the parties hereunder shall survive the termination of the Executive's employment to the extent necessary to the intended preservation of such rights and obligations.

In the event that any paragraph or provision or portion of this Agreement is determined to be invalid or unenforceable for any reason, in whole or in part, the remaining provisions of this Agreement shall nevertheless be binding upon held to be illegal or unenforceable, the parties with entire Agreement shall not fall on account thereof, but shall otherwise remain in full force and effect, and such paragraph or provision shall be enforced to the same effect as though the invalid or unenforceable part had been severed and deletedmaximum extent permissible. The respective rights and obligations of the parties hereunder Parties shall survive the any termination of the Executive's Executive employment or any termination or expiration of this Agreement to the extent necessary to the intended agreed preservation of such rights and obligations.
