Common use of Severability; Survival Clause in Contracts

Severability; Survival. (a) In the event that any provision of this Agreement shall be determined to be invalid or unenforceable for any reason, the remaining provisions of this Agreement not so invalid or unenforceable shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by law; and (b) Any provision of this Agreement which may for any reason be invalid or unenforceable in any jurisdiction shall remain in effect and be enforceable in any jurisdiction in which such provision shall be valid and enforceable. (c) The provisions of sections 6, 7, 8, 9 and 10 of this Agreement, and any other provision of this Agreement which is intended to apply, operate or have effect after the expiration or termination of the term of this Agreement, or at a time when the term of this Agreement may have expired or terminated, shall survive the expiration or termination of the term of this Agreement for any reason.

(a) In It is further understood and agreed by the event parties hereto that if any provision of the provisions of this Agreement shall contravene, or be determined invalid under, the laws of the jurisdiction where invoked, such contravention or invalidity shall not invalidate the whole Agreement, but it shall be construed as it not containing the particular provision or provisions held to be invalid or unenforceable for any reasonin the said particular jurisdiction, and the remaining provisions rights and obligations of this Agreement not so invalid or unenforceable the parities shall be unaffected thereby construed and shall remain in full force and effect to the fullest extent permitted by law; andenforced accordingly. (b) Any provision of this Agreement which may for any reason be invalid or unenforceable in any jurisdiction shall remain in effect and be enforceable in any jurisdiction in which such provision shall be valid and enforceable. (c) The provisions of sections Sections 4, 5, 6, 7, 8, 9 and 10 of this Agreement9, 11, and any other provision 13 of this Agreement which is intended to apply, operate or have effect after the expiration or termination of the term of this Agreement, or at a time when the term of this Agreement may have expired or terminated, shall survive the expiration or earlier termination of this Agreement. In the term event any monetary or other obligations are owing to Employee at the time of this Agreement for any reasontermination, such obligations shall not terminate.
