Common use of Several Covenants Clause in Contracts

Several Covenants. Consultants undertake that during the term of this Agreement and for a period of 24 months thereafter that they will not, directly or indirectly (whether as a sole proprietor, partner, stockholder, director, officer, employee or in any other capacity as principal or agent), do any of the following: (i) hire, or attempt to hire for employment, any person who is or was an employee of Phone1 within the twelve month period prior to the date of termination of this Agreement, or attempt to influence any such person to terminate its employment by Phone1; or (ii) in any other manner interfere with, disrupt or attempt to disrupt the relationship, contractual or otherwise, between Phone1 and any of its employees, or disparage the business or reputation of Phone1 to any such person. (iii) solicit, service or accept any actual or prospective accounts, clients or customers from Phone1 who were such during the term of this Agreement; (iv) influence or attempt, directly or indirectly to influence any of the accounts, customers or clients referred to in Subsection 7(iii) to transfer their business or patronage from Phone1 to any other person or company engaged in a similar business. (v) assist any person or company soliciting, servicing or accepting any of the accounts, customers or clients referred to in Subsection 7(iii); or (vi) in any other manner interfere with, disrupt or attempt to disrupt the relationship, contractual or otherwise, between Phone1 and any of its customers or clients referred to in Subsection 7(iii), or any other person, or disparage the business or reputation of Phone1 to any such person.

Consultants undertake Consultant undertakes that during the term of this Agreement and for a period of 24 months thereafter that they it will not, directly or indirectly (whether as a sole proprietor, partner, stockholder, director, officer, employee or in any other capacity as principal or agent), do any of the following: (ia) hire, or attempt to hire for employment, any person who is or was an employee of Phone1 DynEco or any of its affiliates within the twelve month period prior to the date of termination of this Agreement, or attempt to influence any such person to terminate its employment by Phone1DynEco or any such affiliate; or (iib) in any other manner interfere with, disrupt or attempt to disrupt the relationship, contractual or otherwise, between Phone1 DynEco and its affiliates, on the one hand, and any of its their respective employees, on the other hand, or disparage the business or reputation of Phone1 DynEco or its affiliates to any such personpersons. (iiic) solicit, service or accept any actual or prospective accounts, clients or customers from Phone1 DynEco or its affiliates who were such at any time during the term of this Agreement; (ivd) influence or attempt, directly or indirectly to influence any of the accounts, customers or clients referred to in Subsection 7(iii9(c) to transfer their business or patronage from Phone1 DynEco or any of its affiliates to any other person or company engaged in a similar business.; (ve) assist any person or company soliciting, servicing or accepting any of the accounts, customers or clients referred to in Subsection 7(iii9(c); or (vif) in any other manner interfere with, disrupt or attempt to disrupt the relationship, contractual or otherwise, between Phone1 DynEco or any of its affiliates, on the one hand, and any of its the customers or clients referred to in Subsection 7(iii9(c), on the other hand, or any other person, or disparage the business or reputation of Phone1 DynEco or any of its affiliates to any such person.

(iiic) solicit, service or accept any actual or prospective accounts, clients or customers from Phone1 Company or its Affiliates who were such at any time during the term of this Agreement; (ivd) influence or attempt, directly or indirectly to influence any of the accounts, customers or clients referred to in Subsection 7(iii7(c) to transfer their business or patronage from Phone1 Company or any of its Affiliates to any other person or company engaged in a similar business.; (ve) assist any person or company soliciting, servicing or accepting any of the accounts, customers or clients referred to in Subsection 7(iii7(c); or (vif) in any other manner interfere with, disrupt or attempt to disrupt the relationship, contractual or otherwise, between Phone1 Company or any of its Affiliates, on the one hand, and any of its the customers or clients referred to in Subsection 7(iii7(c), on the other hand, or any other person, or disparage the business or reputation of Phone1 Company or any of its Affiliates to any such person.

(iiic) solicit, service or accept any actual or prospective accounts, clients or customers from Phone1 Company or its Affiliates who were such at any time during the term of this Agreement; (ivd) influence or attempt, directly or indirectly to influence any of the accounts, customers or clients referred to in Subsection 7(iii7(c) to transfer their business or patronage from Phone1 Company or any of its Affiliates to any other person or company engaged in a similar business.; (ve) assist any person or company soliciting, servicing or accepting any of the accounts, customers or clients referred to in Subsection 7(iii7(c); or (vif) in any other manner interfere with, disrupt or attempt to disrupt the relationship, contractual or otherwise, between Phone1 Company or any of its Affiliates, on the one hand, and any of its the customers or clients referred to in Subsection 7(iii7(c), on the other hand, or any other person, or disparage the business or reputation of Phone1 Company or any of its Affiliates to any such person.

Several Covenants. Consultants undertake (a) Consultant undertakes that during the term of this Agreement and for a period of 24 36 months thereafter that they it will not, directly or indirectly (whether as a sole proprietor, partner, stockholder, director, officer, employee or in any other capacity as principal or agent), do any of the following: (i) hire, or attempt to hire for employment, any person who is or was an employee of Phone1 Floridino within the twelve month period prior to the date of termination of this Agreement, or attempt to influence any such person persons to terminate its his employment by Phone1Floridino; or (ii) in any other manner interfere with, disrupt or attempt to disrupt the relationship, contractual or otherwise, between Phone1 Floridino and any of its employees, or disparage the business or reputation of Phone1 Floridino to any such person. (iiib) Consultant undertakes that during the term of this Agreement and for a period equal to 120 months thereafter, it will not, directly or indirectly (whether as a sole proprietor, partner, stockholder, director, officer, employee or in any other capacity as principal or agent), do any of the following: (i) solicit, service or accept any actual or prospective accounts, clients or customers from Phone1 who were such during the term of this Agreement; (ivii) influence or attempt, directly or indirectly to influence any of the accounts, customers or clients referred to in Subsection 7(iii7(b)(i) to transfer their business or patronage from Phone1 Floridino to any other person or company engaged in a similar business. (viii) assist any person or company soliciting, servicing or accepting any of the accounts, customers or clients referred to in Subsection 7(iii7(b)(i); or (viiv) in any other manner interfere with, disrupt or attempt to disrupt the relationship, contractual or otherwise, between Phone1 Floridino and any of its customers or clients referred to in Subsection 7(iii7(b)(i), or any other person, or disparage the business or reputation of Phone1 Floridino to any such person. (c) Consultant undertakes that during the term of this Agreement and for a period of 60 months thereafter it will not, directly or indirectly, disparage the business or reputation of Floridino to any customers or clients referred to in Subsection 7(b)(i), or any other person.
