Severance Compensation upon Termination following Change in Control. Except as set forth in Section 5 below, no severance compensation shall be payable under this Agreement unless and until (a) there has been a Change in Control of the Company while the Executive is an employee of the Company and (b) the Executive’s employment with the Company is terminated in accordance with Section 3(a). If the Executive’s employment with the Company is terminated in accordance with Section 3(a), the Executive shall be entitled to the following severance compensation:
