Share Acquisition Date Clause Samples
The Share Acquisition Date clause defines the specific date on which the ownership of shares is officially transferred from the seller to the buyer. This clause typically specifies a calendar date or links the transfer to the completion of certain conditions, such as closing of the transaction or regulatory approval. By clearly establishing when the buyer becomes the legal owner of the shares, the clause ensures clarity regarding rights, obligations, and risk allocation associated with the shares, thereby preventing disputes over ownership timing.
