Common use of Share Award Clause in Contracts

Share Award. The Corporation hereby awards to the Grantee 9,598 shares ("Shares") of common stock of the Corporation ("Common Stock") pursuant to the First PacTrust Bancorp, Inc. 2003 Recognition and Retention Plan, as the same may be amended from time to time (the "Plan"), and upon the terms and conditions and subject to the restrictions in the Plan and as hereinafter set forth. A copy of the Plan, as currently in effect, is incorporated herein by reference and is attached hereto.

Share Award. The Corporation hereby awards to the Grantee 9,598 shares ("Shares") of common stock of the Corporation ("Common Stock") pursuant to the First PacTrust Bancorp, Inc. 2003 Citizens Community Bancorp 2004 Recognition and Retention Plan, as the same may be amended from time to time (the "PlanPlan "), and upon the terms and conditions and subject to the restrictions in the Plan and as hereinafter set forth. A copy of the Plan, as currently in effect, is incorporated herein by reference and is attached hereto.

Share Award. A copy of the Plan, as currently in effect, is incorporated herein by reference and is attached hereto.
