Common use of Share Exchange Clause in Contracts

Share Exchange. Subject to the terms and conditions hereof, the Seller agree to sell, transfer and deliver to the Buyer, at the Closing, all of the Sale Shares, free and clear of all Liens and together with all rights attached or accruing to them at the Closing Date (as defined below), and the Buyer agrees to issue to the Seller, at the Closing, all of the Consideration Shares free and clear of all Liens and together with all rights attached or accruing to them at the Closing Date (such transaction, the “Share Exchange”).

Share Exchange. Subject to the terms and conditions hereofof this Agreement, at the Closing Seller agree to shall sell, transfer transfer, convey, assign and deliver to the Buyer, at the Closing, all of the Sale Shares, free and clear of all Liens Encumbrances or Liabilities and together with all rights attached or accruing to them at the Closing Date (as defined below)no impairments of title, and Buyer shall purchase, acquire and accept from Seller, all the Buyer agrees to issue right, title and interest of Seller in and to the Seller’s Subsidiary, at including the Closing, all of the Consideration Shares free and clear of all Liens and together with all rights attached or accruing to them at the Closing Date following assets (such transaction, the “Share ExchangePurchased Assets”).):
