SHARE LENDING. The Lender undertakes to lend to the Company the Borrowed Shares. Delivery and redelivery of the Borrowed Shares shall take place in accordance with Clause 3 below. The Parties agree that transfer and delivery of the Borrowed Shares from the Lender to the Company shall be deemed to be a loan of the Borrowed Shares, and shall not be, or be construed as, a sale and purchase of the Borrowed Shares. The borrowing of the Borrowed Shares shall be registered as share lending in the VPS.
