(a) At the Closing, the Partners or Members will be allocated American Spectrum Common Shares (the "Share Consideration") or Operating Partnership Units (the "Operating Partnership Unit Consideration") in such amounts as shall be determined in accordance with the final Prospectus/Consent Solicitation Statement.
