Common use of Share Transfer Books Clause in Contracts

Share Transfer Books. For so long as the Auction Agent, Bankers Trust Company, is acting as the transfer agent for any series of ATP pursuant to this Agreement, it shall maintain a share transfer book containing a list of the Holders of the shares of each series of ATP, the number of shares of each series held by such Holders and the address of each Holder. The Auction Agent shall record in such share transfer books any change of address of a Holder upon notice by such Holder. In case of any request or demand for the inspection of the share transfer books of the Fund or any other books in the possession of the Auction Agent, the Auction Agent will notify the Fund and secure instructions as to permitting or refusing such inspection. The Auction Agent reserves the right, however, to exhibit the share transfer books or other books to any Person in case it is advised by its counsel that its failure to do so would be unlawful.
