SCHEDULE B TO THE TRANSFER AGENCY AGREEMENT BETWEEN THE OFFITBANK INVESTMENT FUNDSERVICE STANDARDS Pursuant to Section 1 of this Agreement, INCOKSC has agreed to perform the services described in this Agreement in accordance with the service standards set forth in this Schedule B. Such standards are contained on the pages attached hereto. AND BISYS FUND SERVICESThe parties agree that such service standards may be revised, INCfrom time to time, by mutual agreement. TRANSFER AGENT FEES ------------------- Effective as Each of the Conversion Dateservice standards will be monitored by a Quality Assurance team. In the event OKSC fails to meet a service standard in any particular month, OKSC agrees to take appropriate corrective measures within the following thirty-day period in order to be in compliance with the appropriate standard at the end of such thirty-day period; provided, however, that the foregoing requirement shall not apply in those instances in which OKSC's failure to meet a service standard was due to circumstances beyond its control. In the event OKSC fails to meet a particular service standard (except for any failure due to circumstances beyond its control) in two consecutive months, the Transfer Agent fee payable to OKSC hereunder shall receive an account maintenance be reduced by one percent (1%) or such lower amount as the parties shall agree upon for the second of those two months. If such failure occurs in three consecutive months, the fee payable to OKSC hereunder shall be reduced by one and one-half percent (1.5%) or such lower amount as the parties shall agree upon for the third of $15.00 per year those three months. In the event OKSC fails to meet a particular service standard (except for each account which is in existence at any time during the failure due to circumstances beyond its control) for any three months within a six-month for which payment is madeperiod, such fee failure shall be deemed to be paid in equal monthly installments. The Transfer Agent shall be entitled to this account maintenance fee on all accounts maintained in its records during the year, including those accounts which have a zero balance during any portion service standard deficiency for purposes of the year. TRANSFER AGENCY SERVICE STANDARDS Pursuant to Section 1 of this Agreement, BISYS has agreed to perform the services described in this Agreement in accordance with the service standards set forth in this Schedule C. Such standards are contained on the pages attached hereto. The parties agree that such performance standards may be revised, from time to time, by mutual agreement. The parties further agree that BISYS shall provide a report (the "Report") to the Trust's Board of Trustees at each Regular Meeting of such Board and, if requested, at any Special Meeting of such Board, which shall describe BISYS' performance and shall indicate whether the standards attached hereto have been met for the relevant reporting period. It is further agreed that any failure to meet a performance standard shall require BISYS to (1) take appropriate corrective action or (2) provide an explanation satisfactory to the Board which states why such standard cannot be met. In the former case, except for those instances in which BISYS' failure to meet a performance standard was due to circumstances beyond its control, BISYS agrees that the failure to raise, for a period of at least ___ consecutive days within 90 days following the last day of the period covered by the relevant Report, its performance to the level set forth in the standards attached hereto or such lower level that is deemed satisfactory by the Board shall constitute a performance standard deficiency for purposes of the "cause" definition contained in Section 5 of the Agreement.
