Common use of SHAREHOLDER AND DIRECTOR VOTE Clause in Contracts

SHAREHOLDER AND DIRECTOR VOTE. Each of the Shareholders, in executing the Agreement, consents as a director and/or shareholder (as applicable) of the Company to the Asset Purchase and waives notice of any meeting in connection therewith.

SHAREHOLDER AND DIRECTOR VOTE. Each of the Shareholders, in executing the this Agreement, consents as a director and/or and shareholder (as applicable) of each of the Company Companies to the Asset Purchase execution and delivery of this Agreement by each of the Companies and the consummation by each of them of the transaction hereunder and waives notice of any meeting in connection therewith.

SHAREHOLDER AND DIRECTOR VOTE. Each of the Shareholders, in executing the Agreement, consents as a director and/or shareholder (as applicable) of the each respective Company to the Asset Purchase and waives notice of any meeting in connection therewith.

Each of the ShareholdersThe Shareholder, in executing the this Agreement, consents as a director and/or and shareholder (as applicable) of the Company Acquired Entities to the Asset Purchase Mergers, the Share Exchange and other transactions contemplated hereby, and waives notice of any meeting in connection therewiththerewith and hereby releases and waives all rights with respect to the transactions contemplated hereby under any agreements relating to the sale, purchase or voting of stock of the Acquired Entities.
