SHAREHOLDER APPROVAL OR ACTION. Any matter or item that requires the approval of the Shareholders pursuant to this Agreement or under applicable law (to the extent that applicable law allows such provision) shall be approved upon the affirmative vote or written consent of Shareholders owning seventy-five percent (75%) or more of the issued and outstanding shares of the Company.
