Shareholder Meeting and Other Expenses. In the event that the Company shall be required to call a meeting of shareholders or send an information statement or prospectus supplement to shareholders solely due to actions involving BHMS, including, without limitation, a change of control of BHMS or a portfolio manager change, BHMS shall bear all reasonable expenses associated with such shareholder meeting, information statement, or prospectus supplement.
