SHAREHOLDER PAYMENT OF INDEMNIFICATION CLAIMS OF PARENT. In the discretion of each of the Principal Shareholders, any payment on a claim made pursuant to Section 8.6, may be made in cash or shares of Parent Common Stock, with the surrender value of such shares, for purposes of satisfying any such claim, equal to the trading price of Parent's stock in effect on the Closing Date.
