Common use of Shareholders’ Ownership Clause in Contracts

Shareholders’ Ownership. Xxx Xxxxxxxxxx and Xxxxx Xxxxx each own 50% of the issued and outstanding capital stock of Asset Seller. Asset Seller (and no other person or entity) own all right, title or interest in personal property of any kind that was actually used and was necessary to the conduct of the Business by Asset Seller, whether tangible or intangible, wherever located.

Xxxxxxxxxx owns 50% and Xxxxx Xxxxx each own Xxxx Xxxxxxx owns the remaining 50% of the issued and outstanding capital stock of Asset Property Management Seller. Asset Property Management Seller (and no other person or entity) own owns all right, title or and interest in personal property of any kind that was actually used and was necessary to the conduct of the Business by Asset Property Management Seller, whether tangible or intangible, wherever located.
