Shares for Cash. In the case of an issue, grant or offer of Shares for cash: (i) the Aggregate Consideration shall be the amount of such cash, provided that in no such case shall any deduction be made for any commissions or any expenses paid or incurred by the Issuer for any underwriting of the issue or otherwise in connection therewith; and (ii) the Number of Shares shall be the number of Shares so issued, granted or offered.
