Common use of Shares Subject to Post-External Distribution RemainCo Option Clause in Contracts

Shares Subject to Post-External Distribution RemainCo Option. The number of shares of RemainCo Common Stock subject to the post-External Distribution RemainCo Option shall be equal to the product obtained by multiplying (x) the number of shares of RemainCo Common Stock subject to the RemainCo Option immediately prior to the Effective Time, times (y) the RemainCo Allocation Factor, times (z) the RemainCo Ratio, and rounding down to the nearest whole share.

Shares Subject to Post-External Distribution RemainCo Option. The number of shares of RemainCo Common Stock subject to the post-External Distribution RemainCo Option shall be equal to the product obtained by multiplying (x) the number of shares of RemainCo Common Stock subject to the RemainCo Option immediately prior to the Effective Time, times (y) the RemainCo Allocation Factor, times (z) the RemainCo Ratio, and rounding such product down to the nearest whole share.
