Common use of SHARES WILL BE RESTRICTED SECURITIES Clause in Contracts

SHARES WILL BE RESTRICTED SECURITIES. The Purchaser understands that the Shares will be "restricted securities" as that term is defined in Rule 144 under the Act and, accordingly, that the Shares must be held indefinitely unless they are subsequently registered under the Act and any other applicable securities law or exemptions from such registration is available. The Purchaser understands that the LLC is under no obligation to register Shares under the Act, to qualify Shares under any securities law, or to comply with Regulation A or any other exemption under the Act or any other law.

The Purchaser understands that the Shares will be "restricted securities" as that term is defined in Rule 144 under the Act and, accordingly, that the Shares must be held indefinitely unless they are subsequently registered under the Act and any other applicable securities law or exemptions from such registration is available. The Purchaser understands that the LLC Fund is under no obligation to register Shares under the Act, to qualify Shares under any securities law, or to comply with Regulation A or any other exemption under the Act or any other law.

The Purchaser understands that the Shares will be "restricted securities" as that term is defined in Rule 144 under the Securities Act and, accordingly, that the Shares must be held indefinitely unless they are subsequently registered under the Securities Act and any other and, to the extent required, under applicable state securities law laws, or exemptions from such registration is are available. The Purchaser understands that the LLC Company is under no obligation to register any of the Shares under the Act, Securities Act or to qualify any of the Shares under any state securities law, or to comply with Regulation A or any other exemption under the Act or any other lawlaws.
