Sharing Information With Affiliates of the Lenders. Each Borrower-Related Party acknowledges that from time to time financial advisory, investment banking and other services may be offered or provided to the Borrower or one or more of its Affiliates (in connection with this Agreement or otherwise) by any Lender or by one or more Subsidiaries or Affiliates of such Lender and each of the Borrower-Related Parties hereby authorizes each Lender to share any information delivered to such Lender by such Borrower-Related Party and its Subsidiaries pursuant to this Agreement with any such Subsidiary or Affiliate of the Lender subject to the provisions of Section 12.08(a).

Each Borrower-Related Loan Party acknowledges that from time to time financial advisory, investment banking and other services may be offered or provided to the Borrower or one or more of its Affiliates (in connection with this Agreement or otherwise) by any Lender or by one or more Subsidiaries or Affiliates of such Lender and each of the Borrower-Related Loan Parties hereby authorizes each Lender to share any information delivered to such Lender by such Borrower-Related Loan Party and its Subsidiaries pursuant to this Agreement with any such Subsidiary or Affiliate, it being understood that any such Subsidiary or Affiliate of the any Lender subject to receiving such information shall be bound by the provisions of Section 12.08(a)11.9.1 [General] as if it were a Lender hereunder.
