Common use of Sharing of Consideration Clause in Contracts

Sharing of Consideration. Should any Guarantor be required to make a Guarantor Advance in an amount in excess of an amount equal to the Loan Maximum times his Guarantor’s Percentage and does not receive reimbursement from the other Guarantors pursuant to Section 3.5 of this Agreement and within the time frame required by Section 3.5, that Guarantor shall receive additional Warrants and Conversion Rights proportionate with the amount of such excess funding. Any Guarantor not making reimbursement to other Guarantors pursuant to Section 3.5 of this Agreement shall forfeit Warrants and Conversion Rights proportionate to the amount of reimbursement not made.
